1. Acceptance of Terms

By creating an account on HAUL'D ("the Service"), operated by HAUL'D ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not create an account or use the Service. Your continued use of the Service after any modifications to these terms constitutes acceptance of those changes.

2. Eligibility

You must be at least 18 years old, or at least 13 years old with verifiable parental or guardian consent, to use the Service. The Service is designed for current or prospective college athletes engaged in Name, Image, and Likeness (NIL) activities, as well as their authorized representatives (such as agents, parents, or compliance staff). By using the Service, you represent that you meet these eligibility requirements.

3. Service Description

HAUL'D is a NIL deal management platform that helps college athletes organize, track, and manage brand deal opportunities. The Service includes:

• --Deal intake from pasted text, uploaded screenshots, or manual entry
• --AI-powered extraction of deal details from unstructured messages
• --AI-powered deal scoring across payment, deliverable, timeline, and compliance factors
• --Deal pipeline management with status tracking and deadline alerts
• --Compliance export formatting for platforms such as Opendorse, INFLCR, and NIL Go
• --Push notifications for deadline and compliance reminders

4. Account Responsibilities

You are responsible for maintaining the accuracy of the information you provide, including your name, email address, and any profile details. You must keep your password secure and must not share your login credentials with others. You are responsible for all activity that occurs under your account. If you become aware of any unauthorized use of your account, you must notify us immediately at support@hauldin.com. Only authorized individuals (the account holder or their designated representative) may access or use the account.

5. AI-Powered Features Disclaimer

The Service uses artificial intelligence to extract deal details from text and images and to score deals across multiple factors. These AI-powered features are assistive tools designed to help you organize and evaluate deal opportunities. They do not constitute legal, financial, tax, or compliance advice. AI-generated results may contain inaccuracies, and you are solely responsible for verifying the accuracy of any extracted or scored information before making decisions based on it. You should consult your school's compliance office, a licensed attorney, or a qualified financial advisor for questions about specific deals or legal obligations.

6. Acceptable Use

You agree not to use the Service to:

• --Enter or track fraudulent, fictitious, or intentionally misleading deal information
• --Harass, abuse, threaten, or intimidate other users or any third party
• --Scrape, crawl, or use automated means to access the Service or extract data
• --Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
• --Circumvent or attempt to circumvent rate limits, security measures, or access controls
• --Use the Service in any manner that violates applicable law or regulation

7. Intellectual Property

HAUL'D owns all rights, title, and interest in and to the Service, including its design, code, features, branding, and documentation. You retain full ownership of the deal data, content, and information you enter into the Service. We do not claim any ownership rights over your data. By using the Service, you grant us a limited license to process, store, and display your data solely for the purpose of providing the Service to you.

8. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

HAUL'D does not guarantee:

• --The quality, legitimacy, or value of any brand deal you track through the Service
• --The collection of payment from brands or any other third party
• --Any particular compliance outcome, including but not limited to NIL Go clearance or institutional approval
• --The accuracy of AI-generated extraction, scoring, or compliance assessments

To the fullest extent permitted by applicable law, HAUL'D shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

9. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms of Service or if continued access poses a risk to the Service or other users. You may delete your account at any time through the Profile page in the app or by contacting us at support@hauldin.com. Upon account deletion, your data will be handled in accordance with our Privacy Policy.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-law provisions. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in the State of Delaware.

11. Changes to These Terms

We may update these Terms of Service from time to time. For material changes, we will provide at least 30 days' notice via the email address associated with your account before the changes take effect. Non-material changes (such as formatting or clarifications) may be made without prior notice. The "Effective date" at the top of this page will always reflect the date of the most recent version. Your continued use of the Service after any changes constitutes acceptance of the updated terms.
